This agreement applies to anyone who  produces video using the Graphix Genie Video Templates available at mygraphixgenie.com or downloaded, purchased or otherwise sourced from mygraphixgenie.com.

When you, a user of the Graphix Genie Video Templates (hereafter referred to as “Licensee”), edit, produce and/or create a video from the Graphix Genie Video Templates (“Video”), you agree to be bound by the terms of this License Agreement, the Graphix Genie Privacy Policy and the Graphix Genie Terms of Use. The Privacy Policy and Terms of Use are incorporated into this License Agreement by reference. Subject to the terms and conditions contained in this License Agreement, you are granted certain rights to use any Video that you edit, produce and/or download from Graphix Genie Video Templates for the purposes including publication on websites, social media and display at events of meetings, etc.

1.) All Video graphics used or made available as part of the Graphix Genie Video Templates are the sole and exclusive intellectual property of owners of Graphix genie (“Graphix Genie”).

​

2.) Graphix Genie distinguishes between Licensees that access the Graphix Genie Video Templates on a personal use basis (“Personal Use Licensee”) and on a commercial basis (“Commercial Use Licensee”) and grants a license on this basis.

​

2.a.) For Personal Use Licensees: The Personal Use Licensee is hereby granted a worldwide, perpetual, non-exclusive, non-assignable, non-transferable right and license to publicly display a Video solely for personal, informational, commercial purposes (such as advertising and promotional projects and online publications for your company or business) and to authorize others to display the Video.

What you CAN do:

What you CAN'T do:

[NO] Can be used for your client’s website / video or any projects.

[NO] Can be sold

[NO] Can be packaged

[NO] Can be given away

[NO] Can be added to a free membership site

[NO] Can be added to a paid membership site

[NO] Can be offered through auction sites

[NO] Can sell resale rights

[NO] Can sell master resale rights

[NO] Can transfer master resale rights

[NO] Can sell Private Label Rights

 

2.b.) For Commercial Use Licensees: The Commercial Use Licensee is hereby granted a worldwide, perpetual, non-exclusive, non-assignable, non-transferable, developer right and license to publicly display the Video for commercial purposes (such as advertising and promotional projects and online publications) for your own company/ business or develop for any of your client and to authorize others to display the Video.

 

What you CAN do:

[YES] Can be unlimited used for your website / video or any projects for lifetime.

[YES] Can be unlimited used for your client’s website / video or any projects for lifetime.

 

What you CAN'T do:

[NO] Can be sold

[NO] Can be packaged

[NO] Can be given away

[NO] Can be added to a free membership site

[NO] Can be added to a paid membership site

[NO] Can be offered through auction sites

[NO] Can sell resale rights

[NO] Can sell master resale rights

[NO] Can transfer master resale rights

[NO] Can sell Private Label Rights

 

3.) In addition to the rights granted under section 2 above, a Licensee, or Licensee’s customers, right to use a Video for non-broadcast purposes will be subject to the following restrictions:

3.a.) The audio file(s) used in a Video Template (“Audio”)may not be transferred, copied, or duplicated by itself, either in whole or in part, other than in timed-relation with the Video. Further, the Audio, may not be resold, licensed, leased or in any way distributed to any third party.

​

3.b.) Release or redistribution of the Audio (e.g., making it available for download via the internet) is not permitted.

​

3.c.) The stock image file(s) used in a Video Template (“Stock Image”)may not be transferred, copied, or duplicated by itself, either in whole or in part, other than in timed-relation with the Video. Further, the Stock Image, may not be resold, licensed, leased or in any way distributed to any third party.

​

3.d.) Release or redistribution of the Stock Images (e.g., making it available for download via the internet) is not permitted.

​

3.e.) Use of the Stock Video files (with or without Audio) in any items for resale, license or other distribution for profit is not permitted;

​

3.f.) Including any elements in Video Templates (with or without Audio) in templates of any nature, including templates for websites, documents, projects or otherwise for distribution and/or sale to third parties is not permitted;

​

3.g.) Use of any elements in Video Templates (with or without Audio) in design template applications intended for resale, whether online or not, including, without limitation, website templates, Flash templates and electronic greeting card templates is not permitted.

​

3.h.) Use of any elements in Video Templates (with or without Audio) to create a derivative work based on or incorporating the Video is not permitted.

​

4.) This License Agreement does not authorize or permit any use of any Video that is not expressly set forth herein or to make any other use of a Video not expressly authorized here-under. Graphix Genie reserves all rights not expressly granted to Licensee here-under. All rights granted here-under are granted on a non-exclusive basis.

​

5.) Graphix Genie accepts no responsibility or liability for any loss of business or business profits (or any other special or consequential loss) resulting directly or indirectly from the use of a Video create form the Video Templates.

​

6.) This License Agreement is binding upon, and shall inure to the benefit of, any respective successors and/or assigns of the parties hereto.

​

7.) Licensee owns the responsibility to copyright of any files they use to insert in a Video created from the video templates.

​

8.) The User may use the content in the Graphix Genie Templates provided that it:

​

8.a.) Does not use the content in the Graphix Genie Templates (totally or partially) in any trademark, logo or part of the same, which may be used by any other means to guarantee or to imply a guaranty of any product and/or service, unless the content in the Graphix Genie Templates used in such cases is modified in such a way as to be a new and different content not confusingly similar with the original content in the Graphix Genie Templates or implies a use of the content in the Graphix Genie as a template or test, and not as a final item or material;

8.b.) Does not make any use of the content in the Graphix Genie Content which might be considered defamatory, libelous, obscene, immoral or illegal, including, without limitation, using it in a way that places any person appearing in the content in the Graphix Genie Templates in a negative light or depicts them in a way that they may find offensive such as the use in pornography, advertisements for escort or similar services, political endorsements, birth control products, and;

8.c. Does not make any use of the content in the Graphix Genie Templates to slander, libel or to vilify a person, race, sex, culture, religion, country, region, town, village or any other place.

 

9.) It is forbidden for a Licensee to authorize any third parties to use the Graphix Genie Templates (or any modification of any content in the Graphix Genie Templates). As an exception to the prohibition, the Licensee may allow third parties to use the content in the Graphix Genie Templates, when each and every of the following conditions are met:

9.a.) The third party has professionally instructed the Licensee to produce goods or provide services to it/him/her and the Licensee uses a limited number of items within the content in the Graphix Genie Templates to produce such goods or provide such services to the instructing third party;

​

9.b.) The authorization granted by the Licensee to the third party is in writing and complies with every restriction of the Licensee’s authorization to use the relevant content in the Graphix Genie Templates and includes, without limitation, a restriction for the third party to distribute, resell or license the relevant content in the Graphix Genie Templates (i.e. the third party is the final Licensee of the relevant content in the Graphix Genie Templates);

9.c.) None of the contents in the Graphix Genie Templates which are subject to the authorization are used as the main element (because of size, relevance or any other cause; in case of doubt about whether the content is the main element, it shall be deemed as the main element) in  digital products (e.g. digital postcards, digital birthday or greeting cards, digital invitations, digital calendars, or electronic devices, apps, videogames, advertising spots, audiovisual animations) aimed to be resold by the third party;

​

9.d.) The production of goods or provision of services by the Licensee to the third party is not done by automatic means, it is tailor-made for the third party (and therefore its use is not authorized by the Licensee to any other third party) and requires a specific substantial human intervention from the Licensee in relation to each third party; and

​

9.e.) The Licensee -and not the third party- chooses the specific items within the content of the Graphix Genie Templates to be used in the production of goods or provision of services for the third party.

​

When all of the above conditions are met, the Licensee shall be entitled to authorize a third party to use the relevant content in the Graphix Genie Templates. This exception refers only to the prohibition for the Licensee to authorize third parties to use the content in the Graphix Genie Templates without affecting or limiting in any way the remaining conditions of the Licensee’s right to use the Graphix Genie Templates. Whether the above conditions regarding the exception to the prohibition for Licensees to authorize third parties to use the content in the Graphix Genie Templates are met shall be interpreted restrictively so that, in case of doubt, it shall be deemed that the conditions are not met.

10.) IN THE EVENT OF ANY MATERIAL BREACH OF THIS AGREEMENT OR ANY USE OF THE VIDEOS TEMPLATES BY A THIRD PARTY, ALL RIGHTS GRANTED UNDER THIS AGREEMENT SHALL TERMINATE IMMEDIATELY. ANY CONTINUED USE OF THE VIDEOS BY LICENSEE SHALL CONSTITUTE AN INTENTIONAL INFRINGEMENT OF THE COPYRIGHTS IN AND TO THE VIDEOS. THE COPYRIGHT OWNER(S) OF THE VIDEO TEMPLATES HEREBY RESERVES ALL OF THEIR RIGHTS TO LEGAL AND FINANCIAL REMEDIES AND RELIEF.
